GIVING PROFITS™ PROGRAM
PARTICIPATION AGREEMENT

Completion, submission and acceptance of this fully executed document shall constitute the full and complete agreement (the Agreement) between the Non-Profit Organization (ORG) and the Giving Profits™ Independent Account Representative (REP) listed herein. Any modifications, changes, additions, deletions or further stipulations to the Agreement must be specified and agreed to in writing by both the ORG and the REP.

I. The Non-Profit Organization (ORG)

2. The Giving Profits™ Independent Account Representative (REP)

3. The REP Agrees and Confirms
    
   1. The REP is an authorized Independent Distributor of products manufactured by Shaklee Corporation.
       
   2. The Giving Profits™ program was developed by an Independent Shaklee Distributor and has not been approved by Shaklee Corporation and is not intended for use or promotion as such. No claims, guarantees, warranties or assurances are implied or promised.
       
   3. The REP shall construct, provide and maintain on behalf of and in the name of the ORG and at no cost to the ORG one (1) web site (the Site) dedicated to the sole and exclusive use of the ORG, its members, affiliates and supporters. The Site shall provide the ORG, its members, affiliates and supporters with direct access to products available for on-line purchase by the ORG, its members, affiliations and supporters.
       
   4. The REP shall monitor and track all product purchases made on the Site by the ORG, its members, affiliates and supporters. Tracking shall be conducted on a monthly basis beginning on the first day of each month and ending on the last day of each month.
       
   5. Based on the results of its monthly product purchase tracking, the REP shall calculate and donate to the ORG either by mailed check or electronic funds transfer an amount currently equal to thirty-three percent (33%) of the retail purchase price of all products purchased on the Site by the ORG, its members, affiliates and supporters. Delivery by the REP of donations resulting from purchases made on the Site each month by the ORG, its members, affiliates and supporters shall be made within twenty (20) days of the close of the previous month to a mailing address or authorized bank account specified by the ORG. The retail purchase price does not include any and all charges for accessories, shipping, handling fees or sales taxes. Product retail sales prices and the percentage of which is eligible for donation to the ORG by the REP are subject to change without notice. The REP shall, upon the request and reasonable notice of the ORG, make records pertaining to all purchases made on the Site each month by the ORG, its members, affiliates and supporters and payments made each month by the REP to the ORG available to the ORG for the purpose of review and audit at the sole expense of the ORG.
       
   6. The REP shall provide the ORG with direct and on-going assistance in the promotion of the Site to the ORG’s current and prospective members, affiliates and supporters for the purpose of product purchase generation and resulting increases to the level of monthly donations made to the ORG by the REP. The REP shall provide the ORG with periodic free advertising placement on the REP’s web site should the REP’s web site be constructed in a manner that facilitates and is appropriate to advertising placement. The REP shall provide all ORG members, affiliates and supporters who purchase products on the Site with periodic e-mailed information pertaining to existing products and new product introductions.
      
       
4. The ORG Agrees and Confirms
   
   
   1. The ORG is a legal non-profit entity and is responsible for full and complete compliance with all Internal Revenue Service rules and regulations.
       
   2. The ORG authorizes the REP to make payable to the ORG’s designated account either by mailed check or electronic funds transfer monthly donations to the ORG by the REP. Once received by the ORG, the funds donated by the REP may be utilized by the ORG in any legal manner the ORG sees fit.
       
   3. The ORG shall provide the REP with written monthly, quarterly and annual statements indicating the amount donated by the REP to the ORG on a monthly, quarterly and annual basis. Monthly statements shall be delivered to the REP by ORG within ten (10) days of receipt of the REP’s monthly donation to the ORG; quarterly statements shall be delivered to the REP by the ORG within thirty (30) days of the end of each calendar quarter; annual statements shall be delivered to the REP by the ORG no later than January 31 of each year.
       
   4. The ORG shall directly and actively promote the Giving Profits™ program to its current and prospective members, affiliates and supporters via links to the Giving Profits™ web site to be prominently displayed on the ORG’s organizational web site, via the Site, via e-mailed information to the ORG’s members, affiliates and supporters, via distribution at the ORG’s expense of promotional literature and items provided by the REP and by facilitating presentations to the ORG’s current and prospective members, affiliates and supporters by the REP.
       
   5. The ORG shall not place any advertisements pertaining to the Giving Profits™ program containing content other than that appearing on the Site or that previously approved by the REP.
       
   6. The ORG agrees that should there be no activity on the Site for a period of ninety (90) days the REP has the right to terminate the Site and this Agreement. Notice of Termination shall be delivered in writing by the REP to the ORG prior to enforcement.

By submitting this electronic form, the ORG acknowledges understands and accepts this Agreement in its entirety. The ORG submitting confirm they are their respective entity’s authorized and responsible party.
